What’s the role

This position’s primary responsibility will be focusing on HSSE Due Diligence and Claims management in the Americas, but will also (over time) be required to manage a small portfolio of traditional SGW projects.

This role provides the opportunity for a motivated and talented individual to support our major DS Acquisitions and Divestment (A&D) program in the Americas, ensuring that the HSSE liabilities and issues are daylighted to the Deal Teams and adequately managed in the deal itself. The position is a commercially focused, high energy, integrator role with key success factors including working with an internal and external network including select consultants to support Goal Zero and influence HSSE and Asset Integrity evaluations on key projects, establishing and sharing best practice, achieving desired performance results in advising the A&D BOMs and Team. This role has direct accountability and a great deal of influencing capability. The role is often involved from the liability assessment, through data room set up/review and into elements on post deal implementation.

Reporting to the Major Projects Manager, Downstream Soil and Groundwater Focus Delivery Group (DS SGW FDG) the role has a wide mandate to work across many business lines in A&D support.

The successful candidate will be responsible for:


Identifying and quantifying S&GW liabilities in support of Strategy and Portfolio divestments and acquisitions within the Americas and potentially other geographies.
Establishing a strong working relationship with the Downstream Acquisitions and Divestments (A&D) team
Enabling the Deal Teams to understand and quantify the risks and liabilities related to HSSE and asset integrity that could affect the commercial value in the transaction and present these conditions in a concise and usable form.
Implement a standardised approach for use in Portfolio deals for identifying HSSE and asset integrity liabilities, the incumbent will be using documents such as Opportunity Realization Standards, TECOP, HSSE Divestment Guidelines, Control Framework JV Governance Standards, JV HSSE and SP Management, to name a few. Establishing, populating and/or reviewing data within Deal Data Rooms.

Enabling the information to be used during the transaction negotiations to develop options to manage the HSSE commercial risks and liabilities in the SPA.
Reviewing deal documents language such as GIP, PCN, GDP, SPA etc. and provide suggestions based on lessons learned from previous projects that may be used to mitigate short-term and long-term risks and work with the project Legal Team.
Assisting in the implementing process including transfer of permits and IT applications.


A&D Projects could include Acquisitions, Divestments, Joint ventures (both Operating and Non-Operating). Technical and commercial challenges can be significant especially with projects containing multiple and complex assets.

Detailed technical support is provided by a number of external companies and so this position will require the overall contract management of these Due Diligence contractors.

Although the primary focus of the position is to support DD activities pre and post deal, the successful applicant will also be required to manage a number of traditional SGW projects in order to manage fluctuations in workload.

In this context the incumbent shall be responsible for:


Drive Goal Zero performance culture in environmental consultants and their subcontractors
Development of risk management strategies for reducing soil and groundwater liability on projects within portfolio.
Managing remediation and/or demolition projects within agreed timeframes and budgets.
Lead development and management of relationship with regulators and stakeholders to ensure cost effective remediation strategies.
Overall contract management third party environmental services consultants and manage their delivery, performance within approved budgets and KPIs, acting in the Contract Implementer role.
Negotiate with regulatory authorities, governmental officials, 3rd party stakeholders, NGOs and other potentially responsible parties
Develop and deliver to budgets as part of the T&R process.


Successful candidates should have a demonstrated capability that would enable them to be successful in working with internal and external stakeholders at all levels. The ability to be a highly contributing member of teams and influence stakeholders while working with conflicting priorities is required.

Requirements:

What we need from you


Must have legal authorization to work in the US on a full-time basis for anyone other than current employer both now and in the future.
10 years of experience in a soil and groundwater and/or other HSSE disciplines.
Bachelor’s Degree in Engineering/Science Degree, preferably in geology/hydrogeology/engineering discipline.
Minimum 5 years of experience in managing SGW projects and leading Due Diligence activities
Experience in negotiations and deal making.
Ability to deliver through others, virtually (across all time zones) within a culturally diverse environment.
Ability to review technical and non-technical data, identify risks and commercial opportunities and articulate these in a clear and concise way to non-technical stakeholders.
Ability to interface and influence external stakeholder including agencies, citizens’ organizations, governmental officials, and plaintiffs.


Special Challenges


Providing support for A&D activities in unfamiliar jurisdictions, often remotely.
Delivery through others, predominantly external resources.
Managing a fluctuating workload and delivering under timelines and resource pressures.
Leading technical negotiations in a face to face environment.
This role may include periods of intense work schedules outside of normal business hours that may be required to meet strategic deadlines as well as short notice travel to attend and contribute to Opportunity Framing Workshops, Management Presentations, Site Walks, Technical breakout sessions, etc. The successful applicant may also support A&D activities in different regions managing this through a network of both internal and external resources.
Travel is variable by project, location, and complexity but may be significant and for extended periods at times.
